Why a guide only for the online channel, not for the document list
Tavoris’s blog already covers the ONRC dossier (which documents go in the set, whether you use the counter or the portal) and RON 500 share capital (Law no. 239/2025). Searches for “online SRL incorporation myportal.onrc.ro”, “qualified electronic signature vs ROeID ONRC”, “ONRC name reservation one month three options”, “Official Gazette tariff RON 152 after admission”, and “ONRC decision one working day” are a different topic: the electronic channel, not the clauses of the articles.
Five points, as of Thursday 24 September 2026: (1) which account and portal you use, and why the registered office picks the county office, (2) why arts. 82–84 of Law no. 265/2022 require a qualified electronic signature, while ROeID (Law no. 214/2024) is an advanced signature, (3) the three names and the one-month life of the proof under art. 50(6), (4) why art. 44 charges no registration fee and why the Official Gazette calculation note appears only after an ADMIS decision, (5) the one working day in art. 105 and the maximum 15 calendar days to complete the file under art. 106. Registered office, CAEN, and beneficial owner stay in their own guides.
1. Online SRL incorporation on myportal.onrc.ro: the account, the portal, and the office of the registered seat
MyPortal (myportal.onrc.ro) is the online services portal of the National Trade Register Office. You reserve the name there and, as a separate step, transmit the SRL incorporation application with electronic documents. You create a natural-person account before the first application. ONRC describes information services inside the account as free after signup; that does not make Official Gazette publication free — that tariff is paid later, after admission.
Art. 84(1) of Law no. 265/2022 says the application is filed, in person or by an authorized representative, at the trade register office in whose territory the registered office sits, including by electronic means. The address in the loan-for-use or lease contract is not a form detail: it fixes the office. What counts as proof of the office is in the registered-office guide. A seat PDF with a different address from the application is a typical completion request, not a “portal glitch”.
ONRC also lists channels outside the portal: the counter, and email, fax, or post, for which the official name-reservation page mentions an auxiliary tariff of RON 7.68 on top of payment by bank transfer. The path in this article is the portal, without that RON 7.68. Button labels change; the basis stays Law no. 265/2022 and the forms on onrc.ro. You do not file “in whichever county answers faster” when the registered office is in another county.
2. Qualified electronic signature versus ROeID: arts. 82–84, not the certificate on the ID card
For registration by electronic means, art. 83 of Law no. 265/2022 requires a qualified electronic signature issued in an electronic identification system on the list published by the European Commission under art. 9 of Regulation (EU) no. 910/2014. Art. 82(1) allows the application to be signed either by hand or with a qualified signature. Paragraph (2) says the same for the articles of association, including the model form: every founder signs, or their agreed representative. On electronic transmission, art. 84(3) requires the documents in electronic form, signed with a qualified electronic signature, or a copy certified by the party with a qualified electronic signature. A scan of an ID card signed by hand on paper does not meet paragraph (3).
ROeID is not that instrument. roeid.ro describes ROeID as a single identity for e-government services (single sign-on) and says the signature made with the new chip ID card, through the app and NFC, is an advanced electronic signature under Law no. 214/2024. Advanced is not qualified. The ONRC page for online name-reservation forms states that the portal requires a qualified electronic signature. If the portal offers a ROeID login, that opens the session; it does not replace the qualified certificate on the application and on the articles. As of 24 September 2026, a founder without a qualified certificate prepares the PDFs and has them filed by a representative who holds one (a lawyer with a power of attorney, or a person with an authentic proxy — art. 84), or files at the counter with a handwritten signature.
The qualified certificate bought for ONRC is reused after incorporation in SPV. The steps after the certificate, including SPV, are in the post-incorporation guide. Before you generate the final PDF, check that every signing shareholder’s certificate is in date. Do not edit the file after signing: any change invalidates the signature and the portal rejects the document. A correction is made in the content, then you sign again. Declarations on one’s own responsibility may be private deeds, but electronic transmission still uses a qualified electronic signature (art. 84(4)).
3. Name reservation: three options, one month from the proof, what is not distinctive
Art. 50(1) of Law no. 265/2022 requires a name-availability check before the articles are drawn up. The model application, on the ONRC page “Name availability and reservation”, is filled in with three different names, in order of preference. ONRC allocates the first one that is available. A reservation made by the office or through the portal is administrative and preliminary: the registrar checks the formal legality of the name together with the merits, on the incorporation application. A reservation proof is not yet the exclusive right to use the name. That right arises on registration in the trade register (art. 51(1)).
Art. 50(6): the proof is valid for one month from the date it is issued. The ONRC page states that issuance means the date the application generates the proof, not the date you download the PDF the next day. Example on Thursday 24 September 2026: if the proof is generated today, the month runs out on Saturday 24 October 2026. The incorporation file must be transmitted before that calendar date. It is not “30 working days”, and art. 50 does not describe an automatic extension because 24 October is a Saturday. If you let the reservation expire, you file again and you can lose the variant if someone else reserved it in the meantime (art. 50(5)).
An SRL name is a distinctive name, to which you may add the name of one or more shareholders, followed by the words “societate cu răspundere limitată” or “S.R.L.” written out. Among other things, these are not distinctive: reversing word order, doubling a letter, adding or dropping diacritics, phonetically identical words, adding “România”, or adding “grup” or “holding” where the meaning does not change. You cannot reserve a name with “științific”, “academie”, “universitate”, “școală” or their derivatives, nor with “notar”, “executor”, “avocat”, “consilier juridic”, “consultanță juridică”. “Național”, “român”, and “institut” are barred when they create confusion with a public authority. The name on the proof must be identical in the articles. The clauses of the articles are in the articles and beneficial-owner guide; a one-letter mismatch between the proof and the articles is a completion reason, not a formality the registrar “fixes for you”.
4. Official Gazette tariff of RON 152 per page after admission: not a registration fee
Art. 44 of Law no. 265/2022: no fees or tariffs are charged for the operations in arts. 41 and 43. SRL incorporation falls under that rule. ONRC’s notice on its website says that from 30 April 2026 the Official Gazette publication tariff is paid only after the application is admitted. You receive the calculation note only if the decision is ADMIS. Publication is mandatory, and the documents are not released before payment. Opposability to third parties runs from publication in the Official Gazette of the act that must be published; art. 46(1) ties opposability to registration in the register or to publication, where the law requires publication.
The tariff in force on 24 September 2026 is the one in Decision no. 1/2026 of the Permanent Bureau of the Chamber of Deputies (Official Gazette no. 88 of 4 February 2026), which replaced the annex to Decision no. 15/2025 and applies to acts published after it entered into force. At point 5.1, publication of acts under Companies Law no. 31/1990 in Part IV costs RON 152 per manuscript page. The annex states that the tariffs include VAT. The calculation note tells you how many pages your extract has; RON 152 is the price per page, not a flat “incorporation” fee. Decision no. 15/2025 had RON 138 per page for the same point: do not keep the old figure.
A draft discussed in public would have introduced fixed fees (including for name reservation) and a 50% cut for electronic filing. As of 24 September 2026, art. 44 as in force and the ONRC notice of 30 April 2026 still describe registration without a registry fee and payment of the Official Gazette tariff after admission. If a later act amends art. 44, the calculation note in the portal is what you pay, not a press piece about the draft. The RON 500 minimum share capital of a new SRL is not this payment: it stays with the company. How it is subscribed and paid in is in the share-capital guide. RON 500 in the application and a different figure in the articles is a mismatch, even though the state does not collect the capital.
5. One working day to decide, and at most 15 calendar days to complete the file
Art. 105(1) of Law no. 265/2022: the registrar decides the application on the documents within one working day from registration. The exception in paragraph (2) is a suspicion of forgery as to the identity of the applicant or the representative, not “the office is busy”. A complete application registered on Thursday 24 September 2026 has, on the text of art. 105, a decision deadline of Friday 25 September 2026. Admission is not yet the certificate in your hand: the Official Gazette calculation note and the payment come next, then release of the documents.
If the file is incomplete, art. 106(1) lets the registrar set a remedy or completion term of at most 15 calendar days. The term and the reasons are posted on the portal. If you remedy the file before it expires and ask for the decision date to be brought forward, art. 106(4) says the application is decided on the day after the day you remedied it. If you let the 15 days pass without doing what the postponement order required, the application is rejected (paragraph (5)). Example: a postponement notified on Friday 25 September 2026, with the maximum 15 calendar days, runs out on Saturday 10 October 2026. Do not mix those 15 days with the one-month life of the name proof, or with the 15-day term for later mentions in art. 43, which applies to companies already registered.
What comes back most often for completion on the electronic channel: an unsigned PDF or a signature from an expired certificate; a name on the proof that differs from the articles; an expired reservation; missing pages; a beneficial-owner declaration that does not match the shareholders; CAEN codes that are not the ones in the articles. What matters here is that every uploaded PDF is the same text you signed, not a “close enough” variant.
Checklist: file an SRL on myportal.onrc.ro (24 September 2026)
Follow the steps in this order. Tariff and deadline figures are those in force on Thursday 24 September 2026. If the reservation proof is older than one month, reserve the name again before incorporation.
- Create an account on myportal.onrc.ro. Check that every founder who signs holds an in-date qualified certificate, not only a ROeID login.
- File the reservation application with three names, in order of preference, signed electronically. Download the proof on the day the system generates it and note the date: one month from that date (art. 50(6)).
- Align the name on the proof, the registered office, the CAEN codes, and share capital of at least RON 500 in the articles and in the application. The office picks the county registry (art. 84).
- Sign each PDF with a qualified electronic signature. Copies of identity documents are certified by the party with the same qualified signature (art. 84(3)). Do not edit the file after signing.
- Transmit the incorporation application in the portal, with the beneficial-owner declaration, before the proof expires.
- Watch the status. For a complete application, art. 105 gives one working day. For a completion order, you have at most 15 calendar days (art. 106); if you do not answer, the application is rejected.
- After an ADMIS decision, pay the calculation note for the Official Gazette, Part IV: RON 152 per manuscript page (Decision no. 1/2026). Without payment the documents are not released.
- Download the certificate and continue with SPV and the bank account. The qualified signature used here is reused at ANAF.

- Not for electronic filing of the application and the articles. Art. 83 of Law no. 265/2022 requires a qualified electronic signature from a system on the European Commission list. ROeID, according to roeid.ro, produces an advanced electronic signature from the chip ID card (Law no. 214/2024) and is used to log in. Without a qualified certificate, you file at the counter with a handwritten signature or through a representative who holds a certificate.
- How long is an ONRC name reservation valid?
- One month from the date the proof is issued, art. 50(6) of Law no. 265/2022. ONRC states that the date is the day the system generates the proof. A proof generated on Thursday 24 September 2026 is valid until Saturday 24 October 2026. You transmit the incorporation file inside that window. - What happens if the reservation proof expires on Saturday 24 October 2026?
- One month after the proof is generated, the reservation can no longer be used for incorporation. Art. 50 does not describe a weekend extension. File the incorporation application by 24 October 2026 or reserve the name again. A name someone else has already reserved cannot be reserved while their proof is still in date (art. 50(5)).
